We are seeking a detail-oriented and experienced Intercompany Controller with a legal cumen to oversee the management and transfer of intercompany activities, including contracts, agreements, invoicing, and accounts payables/receivables across Group entities. In addition to financial responsibilities, you will play a crucial role in ensuring compliance with tax regulations, maintaining accurate legal documentation, and supporting withholding tax documentation. This role requires close collaboration with Group Legal, Group Tax, and other internal stakeholders to ensure efficient financial operations and regulatory compliance.

 

Key Responsibilities:

 

Intercompany Agreement and Contract Management:

 

·  Conduct annual reviews and updates of remuneration appendices for intra-group agreements, ensuring compliance with both legal and tax requirements.
·  Maintain and update Management Services Agreements with a strong focus on legal compliance and contractual precision.
·  Oversee accurate documentation and filing of contracts in the database (SharePoint), maintaining legal standards.
·  Collaborate extensively with Legal and Tax teams to implement and update intercompany agreements in line with current regulations.
·  Manage contracts with Joint Ventures (JVs), ensuring appropriate documentation and legal compliance across jurisdictions.

 

Invoicing and AR/AP Oversight:

 

·  Oversee intercompany invoicing, ensuring accuracy and compliance with existing legal contracts and agreements.
·  Work closely with the Shared Service Centre for timely and legally compliant invoicing of intercompany contracts.
·  Manage the “good to pay” process to ensure prompt payment, compliance with payment terms, and adherence to contractual obligations.
·  Monitor aged balances and provide quarterly reporting on Accounts Payables/Receivables, escalating issues with legal implications as needed.

 

Compliance, Tax, and Legal Documentation:

 

·  Respond to bank queries related to payments, in collaboration with the Treasury and Legal teams to provide accurate documentation.
·  Ensure proper management of Withholding Tax (WHT) documentation, maintaining compliance with local tax laws and regulations.
·  Oversee the collection and management of Tax Residence Certificates (TRC) and Beneficial Owner Statements to reduce or avoid tax withholding, ensuring all legal requirements are met.

 

Expense Report Management:

 

·  Review and control expense reports for CEO direct reports, ensuring compliance with company policies and legal guidelines.
·  Manage delegation requests during absences and ensure all receipts and documentation meet regulatory and policy standards.

 

Communication and Legal Liaison:

 

·  Communicate effectively with internal stakeholders on updates to intercompany agreements, keeping legal standards at the forefront.
·  Maintain alignment with financial policies, intercompany agreements, and legal compliance across entities.
·  Escalate issues to management as necessary to ensure timely resolution and regulatory adherence.

·  Navigating Regulatory Changes: Stay updated with evolving tax and legal regulations and compliance requirements.
·  Process Optimisation: Continuously refine financial and legal processes to reduce manual effort and enhance accuracy.
·  Global Coordination: Oversee intercompany activities across multiple regions, managing diverse legal and regulatory environments.

Key Requirements:

·  Proven experience in intercompany transactions, general accounting, controlling, or a related role with a legal component.
·  Academic background in Economics, Finance, and/or Legal Studies.
·  Experience in an international company with a strong understanding of intercompany flows and contractual agreements.
·  Proficient in contract management, with a solid grasp of intra-group agreements and their legal aspects.
·  Strong communication skills, with the ability to convey legal and financial matters effectively to senior management.
·  Proficiency in Microsoft Office Suite; SAP experience is a plus.
·  Ability to manage deadlines under pressure while ensuring legal and financial compliance.
