We are currently seeking an experienced professional to join our team in the role of  Legal Counsel Global Payment Service 

Overview

We are seeking an experienced legal professional to join HSBC’s Bangalore Legal team in the role of Legal Counsel, to provide support to HSBC’s Global Payment Solutions (GPS) Legal vertical.

The role holder, Legal Counsel, will be a part of the Global Legal GPS (Global Payment Solutions) team, responsible for providing support to onshore GPS (Global Payment Solutions) Business on various aspects of the improved negotiations process and documentation queries. This will involve the engagement and partnership with key internal stakeholders in the Bank such as Product, Implementations, and Sales. The development opportunities will increase gradually over time as part of the broader offshoring strategy of the Global Legal Function

Principal responsibilities

·  Be proactive in the provision of negotiations-related support. Ensure timely escalation to line management and, where appropriate, Global GPS (Global Payment Solutions) Legal including Senior Legal Counsel – GPS (Global Payment Solutions) Legal on any issues or complex / protracted matters.
·  Provision of negotiation-related guidance that is succinct, easy to understand, and adds value by identifying the root cause of the problem and solutions.
·  Supporting a global business with considerable scope for regulatory intervention and/or legal challenge and dispute. Business has a wide range of product and customer types. Gap analysis of standard terms against bespoke documentation, including sharing output with Senior Legal Counsel – GPS (Global Payment Solutions).
·  The jobholder is responsible for providing negotiations advice against the backdrop of both the legal framework and internal business guideline; and assisting Corporate and Institutional Bank and specifically the business to identify and manage relevant risks associated with its transactions. These include but not limited to Master Services Agreement, Confidentiality and Regulatory Annex, Board Resolutions, Service Agreements for Corp Cards, Pooling, Cash Concentration, Virtual Accounts.
·  Review of template documentation from all customer segments for products which include deposit/current accounts, payments, liquidity, commercial cards, and general cash management Products. 
·  Amendments to standard templates in accordance with GPS (Global Payment Solutions) Negotiation Guidelines. Review of transactional documentation, including customer board resolutions and capacity opinions.
·  In specific cases, negotiation of template finance and security documentation in adherence with guidelines. For negotiated transactions, full adherence to GPS policies and procedures, playbooks and negotiation guidelines.
·  GPS product implementations are supported and managed from a legal perspective to facilitate successful and timely execution as required by GPS (Global Payment Service) senior management.
·  Where necessary, matters are escalated to Product Legal supporting GPS (Global Payment Solutions) in the relevant Region or Country.  Adverse consequences arising from legal issues are properly managed and mitigated and remedial action initiated in line with the materiality of the risk or issue.

Requirements

· 
·  Qualified lawyer (common law jurisdiction preferable) with a minimum of 8-10 years post qualification banking and finance law experience.
·  Experience in drafting and negotiating GPS (Global Payment Solutions) documentation Master Services Agreement Payments, Confidentiality and Regulatory Annex, Board Resolutions, Service Agreements for Corp Cards, Pooling, Cash Concentration, Virtual Accounts
·  Maintain and develop positive and professional working relationships with team members within GPS (Global Payment Service) Legal, GPS (Global Payment Solutions) Implementations, Global Commercial Banking Legal, country lawyers and business departments for which the jobholder is providing support.
·  Participate effectively as part of the Global GPS (Global Payment Solutions) Legal team the Implementations function. Regular reports to and meetings held with line management in Legal and Implementation
·  Maintain successful and mutually supportive working relationships with all members of, Global Commercial Banking Legal and GPS (Global Payment Solutions) Legal teams.
·  The jobholder will be responsible for support of GPS (Global Payment Solutions)  Commercial Banking Legal negotiations (supervised as required by Senior Legal Counsel) and must have the ability to support a range of documentation issues. The jobholder will also collaborate with Implementations project managers and lawyers globally as required. 
·  Strong understanding of domestic banking and finance law and transactions. Payments experience preferred. Regulatory experience and an understanding of risk management is an advantage
