Job Description

The M&A paralegal will provide a range of paralegal support for merger and acquisition (M&A) transactions. You will be primarily responsible for assisting a few attorneys in all stages of corporate transactions and the preparation of documents necessary to comply with federal, state and local regulations relating to such activities. The ideal candidate must have ability to operate autonomously, exercising independent judgment and discretion.

Essential Functions:

·  Assist M&A attorneys in coordination and management of multiple M&A transactions, including mergers, stock and asset acquisitions, divestitures, joint ventures, strategic investments and other corporate work.
·  Prepare due diligence request lists and conduct due diligence investigations.
·  Draft ancillary transaction documents under attorney supervision, including officer’s certificates, power of attorneys, corporate resolutions of shareholders and board of directors.
·  Draft and monitor third party consents.
·  Assist in the preparation of governmental filings related to M&A transactions, including Hart Scott Rodino (HSR), and Committee on Foreign Investment in the U.S. (CFIUS) filings.
·  Create closing checklists; draft signature pages and assist with preparation of agreements, schedules and exhibits and other closing documents and assist in the completion of closings
·  Prepare and review confidentiality agreements with attorney supervision.
·  Support attorneys with preparation of documents for the formation, dissolution and merger of legal entities.
·  Assist in the execution, distribution and storage of contracts and documents.
·  Act as a liaison between M&A attorneys, outside counsel, and other Siemens counsel and business colleagues.

Skills and Abilities Required:

·  In-depth knowledge and understanding of, and strong ability to anticipate, paralegal support needs of M&A attorneys in a multitude of M&A transactions.
·  Ability to interact with people at all levels of the corporate structure and prioritize and handle numerous competing demands in a high-volume, fast-paced working environment, frequently under tight deadlines.
·  Skills to prepare complex correspondence, documents, summaries and reports in clear concise manner.
·  Identify, resolve, and/or escalate issues in a timely manner.
·  Ability to work independently and as part of a team.
·  Must be able to organize, multi-task and timely accomplish projects.
·  Strong oral and written communication and interpersonal skills, including ability to handle difficult or sensitive information in a tactful manner.
·  Ability to maintain working knowledge of company’s internal tools and procedures, including for hiring outside counsel;
·  Ability to consistently evaluate and upgrade practice support service and technology;
·  Ability and willingness to take on additional responsibilities as the need arises;
·  Excellent problem-solving skills
·  Excellent drafting and proofreading skills

Education/Qualifications:

·  Bachelor’s degree or Associate Degree preferred, High School degree required;
·  Minimum of 4 years of paralegal experience, preferably with a major corporate law firm or at an in-house corporate law department of a major U.S. corporation;
·  Strong document management skills and advanced knowledge of Microsoft Word, PowerPoint, Excel and Adobe;
·  Highly adept in understanding and fully utilizing various types of software; and
·  Efficiency and proficiency with research, both on and off-line (including EDGAR, LexisNexis, Westlaw, etc.).
·  Highly developed interpersonal skills with the ability to confidently interact with attorneys and other colleagues throughout the organization.
