Job Description:
·  You will be responsible primarily for contract drafting, commercial negotiation, including assisting relevant business lines in resolving queries or conflicts involving interpretation of contracts entered into by, and laws/rulings/regulations applicable to, the company and developing/updating contract templates for customary third-party engagements. The candidate will also be providing legal advice and support to the IBM general business in the Philippines. The candidate will also be expected to provide support for compliance and ethics matters as well as regulatory and employment-related functions.
·  This role is primarily based in Metro Manila, Philippines.
·  As you develop into the role, you may be expected to perform regional roles.
·  You will perform a customer facing role.
Roles & Responsibilities:
·  You will prepare, review, negotiate and advise on all aspects of contracts and standard terms. This includes assisting relevant business lines with contract drafting, preparation and responses to proposals, mark-up of contracts and RFP/RFIs, commercial negotiations, and contract administration.
·  You will provide advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation and other legal issues of relevance to IBM.
·  You will provide support to the supply chain/procurement function and global financing function.
·  You will work with various business lines, and the IBM's finance, human resources, regulatory and risk management teams, to provide solutions consistent with the IBM's corporate policies.
·  You have to ensure documentation is maintained, and that organizational memory is retained, within the corporate business group.
·  You will provide education on contracts and compliance issues (including business integrity, ethics, FCPA, AMLA and PEZA).

Required Technical and Professional Expertise

Requirements:
·  Absolute commitment to business integrity and ethical conduct.
·  A degree in law and legal qualification in the Philippines.
·  Minimum 10 years' legal experience in contracts and negotiations in the Philippines is preferred (optimally, a combination of experience as in-house counsel in IT-related industry and as a lawyer in a top-tier firm).
·  Demonstrated ability to influence contract structure and business decision making for the benefit or advantage of IBM.
·  Demonstrated success in negotiating large and complex deals in complex situations.
·  Ability to handle multiple deals/matters concurrently.
·  Experience in international contracting matters.
·  Previous exposure in IT-related industry is an advantage.
