Airbus Defence & Space is looking for a Legal Counsel Corporate & Business Law (f/m) to join the Legal Department of Airbus Public Safety and Security based in Elancourt, France .
You will be part of an international legal team of around ten people in charge of all legal matters related to the PSS activities located in France and in the different countries where activities are performed and in an international competitive environment.
Your challenges:
On corporate law matters
· Follow-up/ drafting/ reviewing of all corporate decisions (e.g. accounts approval, appointments, evolution of structures such as transfer of registered office, change of corporate name…) in conformity with applicable laws
· Management of all legal formalities related to corporate matters
· Follow-up/ drafting and registration of the Delegations Of Powers (PoA and Delegations of Power and responsibility)
· Implementation of corporate governance best practices and standard documents in the respect of the Airbus Directives
On business support
· Proactively contribute to the risk mitigation by alerting on potential major risks and elaborating alternative proposals
· Provide legal support on contractual matters (sale, procurement, R&D...)
· Manage pre-litigation and litigation files
· Organize legal trainings
· Contribute to the development/transformation of the Legal Department, legal processes
· Prepare and update legal documentations, contracts templates
· Ensures that all legal and compliance processes/procedures are adhered to
Your Profile:
· Be a French legal Counsel / qualified lawyer
· Minimum of 3/5 years past qualification experience in Corporate and Business law gained either from an international law firm or a multinational company
· A background in general commercial law: drafting and negotiation of contracts / drafting and analysis of claims / advising on regulatory aspects (public procurement laws, anti-trust regulations…)
· Experience in sector of telecommunications, mobile phone services and software (MNO/SMVNO, SaaS and license management) would be strongly appreciated
· Language: fluency in French and negotiation level in English
This position requires a security clearance or will require being eligible for clearance by the recognized authorities.
