We are currently looking for a Contracts Manager to join the Thales Avionics, a subsidiary of Thales USA team in Irvine, CA.
The Contracts Manager will be responsible for all contract related activities in his/her assigned region(s), projects, airline client(s) and Aircraft OEMs. The Contracts Manager's contributions play a key role in enabling our Company to provide millions of passengers while inflight to watch movies and connectivity, use high-speed Internet browsing, text messaging, cell phone usage (where permitted), wireless streaming, etc.
Key Responsibilities:
• Provide post-award contract management support as needed to Program Managers for assigned projects
• Draft, negotiate, and review commercial contracts, including sales, purchase, lease, non-disclosure, software licensing agreements, development agreements, consulting agreements and other business and legal documents.
• Assists with negotiation strategy and support negotiation team on contractual issues as required or directed.
• Assist with the review and response to RFPs and support bid teams from Gate 1 through contract signature.
• Ensure that the Bid/Tender process is followed for every proposal and resultant contract for assigned accounts.
• Provide contractual risk analysis and contracting strategy for new business from inception through contract signature.
• Ensure flow down and flow-up of contract terms and conditions to the suppliers or customers, as required or applicable;
• Identification of non-standard commercial terms and risk identification for the preparation of company legal memos.
• Research new laws, regulations and contract trends for potential impact on business unit goals and objectives.
• Advise management of contractual rights and obligations of customers and suppliers;
• Ensure activities are compliant with Delegation of Authority and other mandates adopted by the Company;
• Acute awareness of financial/analytical issues and profit and loss implications based upon proposed and committed contractual terms and conditions.
• Provide support to other functional departments regarding the Company's business operations in compliance with Thales contractual and operational processes, templates, and applicable international, federal, state and local laws and regulations;
• Assume process ownership for tracking and maintaining all key contract documents, including but not limited to contract approval records, coordinating renewals prior to expiration dates, preparing and documenting amendments;
• Prepare various summaries with respect to the status of key customer and supplier contracts and other agreements
Skills and Experience:
• Law Degree (JD) preferred or the foreign equivalent of a law degree, or Bachelor's degree
• 3-5 years proven experience drafting, negotiating, and reviewing commercial contracts with customers and suppliers in a corporate legal and/or contracts department preferably in aerospace, engineering or technology;
• Experience reviewing and negotiating software and media license agreements preferred
• Strong research and writing skills.
• Good interpersonal skills, including speaking to an executive level audience
• Self-starter and independent worker with critical thinking skills.
• Foreign language(s), speaking and writing skills a plus
• Knowledge of current U.S. & international trade control laws and regulations, trade compliance policies, procedures, and guidelines for business operations applicable to technology or defense company a plus.
