Mission
Business Line or Department
The Structured Products team in London (SEGL/JUR/GBS/MAR/STP/SPL) is part of an integrated legal organisation for SGCIB with lawyers based across Paris and London. The Structured Products team in London is seeking a graduate legal assistant to provide administrative and legal/paralegal support.
The Structured Products team in London (the “Team”) provides legal advice to the MARK business line (the “Business”). The Business provides a range of services – including advisory, structuring and financing – for both institutional and retails clients across the equity, fixed income, FX and commodity asset classes.
The Team provides legal and regulatory advice and transactional support to the Business in relation to the complex structured products that they develop, with a particular focus on structured warrants, certificates and preference shares issued by SG vehicles pursuant to a variety of issuance programmes, as well as standalone transactions in listed and OTC derivatives. To a lesser extent, the Team provides support for general transactional work and bespoke repackaging and OTC derivatives structures. In addition, the Team advises on distribution arrangements, marketing initiatives and client-tailored mandates, as required.
Summary
The Team is looking for a graduate legal assistant who is self-motivated, with a “can do” attitude and excellent writing skills to support them in their day to day activities, in particular transaction management and administration. The graduate legal assistant would sit on the trading floor with the Team.
Responsibilities
• Assistance with the review of term sheets and final terms relating to SG's issuance programmes.
• Assistance with transaction management and administration processes, including internal/external liaison and coordination/follow-up with the Business and its signatories for the execution of corporate documents, contracts and powers of attorney (including delegations by power of attorney).
• Assisting the Business with document filing, storage processes, and archiving of executed documents.
• Other transactional and administrative support as required e.g. checking conditions precedent, proof reading transaction documentation, maintaining the legal team's database of issuances and transaction documentation, as well as and post-closing matters.
• Review, preparation and negotiation of confidentiality agreements, Master Distribution Agreements and Introducing Broker Agreements and related documentation to be entered into by SG.
• Assist the team lawyers with the preparation of amendment agreements, reviewing disclaimers and ensuring compliance with SGCIB's standard PAN EEA set of disclaimers relating to the various SPV's.
• Preparation of board minutes and ancillary issuance documentation.
• Follow up on any internal and external legal queries.
• Undertake legal research and/or projects for the Team.
• Update and maintain existing internal precedent documentation.
• Assist the Team with issuance programme updates, projects and systems.
• Maintenance of the Team's electronic legal archiving system.
