KPMG has a specialist Corporate and Commercial Legal Services team which sits within the Tax team. The Corporate and Commercial Legal Services team advises on a broad range of corporate and commercial law on a multi-disciplinary basis in conjunction with KPMG's tax and advisory teams.
Working alongside the Tax team, the team regularly advises on complex domestic and cross-border intra-group reorganisation transactions. Also, working alongside the Corporate Finance and Transaction Services teams, the team regularly advises on mergers and acquisitions, predominantly at a domestic level.
We are now looking for a paralegal to support the Corporate and Commercial Legal Services team in our Manchester office. You will have previous paralegal experience in the area of corporate law.
Roles and Responsibilities:
The role is very varied with no two days the same. You will be required to manage your time well and be able to balance several pieces of work simultaneously, prioritising appropriately to ensure tight deadlines are met. The following is a non-exhaustive list of responsibilities and activities:
•running know your client (KYC) checks;
•handling new client engagement processes;
•drafting engagement letters;
•carrying out company searches and summarising key information in company search reports;
•drafting and managing due diligence information requests;
•assisting with due diligence projects, including assistance with assembly and maintenance of online data rooms;
•drafting and amending project management plans (comprising a documents list, timetable and parties list);
•drafting Companies Act 2006 related documentation and other corporate documentation (e.g. ancillary documents including board minutes, share transfer documents, shareholder resolutions etc.);
•drafting and filing of Companies Act 2006 forms, including hand delivering documents to Companies House where necessary;
•designing PowerPoint presentation slides and assisting with the delivery of training sessions (with other team members) for the team on corporate law topics;
•project managing smaller projects including liaising with overseas legal counsel, other advisers and clients;
•co-ordinating the input of overseas legal counsel on transactions;
•assisting with business development activities, including the preparation of marketing materials;
•preparing legal update articles and sector specific articles for external client circulation;
•assisting with the preparation of proposals and fee and work scopes;
•carrying out legal and other research;
•assisting with know-how projects including summarising know-how and other materials for inclusion in KPMG's knowledge management system;
•assisting with the administration of the KPMG internal training programme; and
•assisting with projects that other team members are working on.
Qualifications and Skills:
You will hold a Legal Practising Certificate
