Services range from international tax compliance and consultancy, advising on international social security and pensions through to helping clients to design their global mobility policies or move into a new territory. Our ERS team brings a number of key elements under one umbrella, Reward, Employment Solutions and Employee Benefit Solutions all delivering a wide range of services. The scope is broad, covering payroll and HMRC compliance, employee reward and benefit strategy design including technology, executive strategic reward, valuation services, workforce management and advice on national minimum wage and gender pay gap. Our technology team provides cutting-edge solutions and tools to help clients in both the GMS and ERS space, helping them meet their compliance requirements, work more effeciently and minimise their risk.

Job Description

The Role

- Conducting employment-related securities tax due diligence on a target companies for a potential sale or IPO.
- Assisting with the design of new tax-efficient employee incentives for private companies.
- Advising private equity investors or management teams on the structuring of new management incentive arrangement to be offered as part of a transaction.
- Drafting a ‘traditional’ share plan or cash bonus plan for a listed companies.
- Undertaking a global tax review of existing incentive arrangements for global businesses.
- Responding to ad hoc queries on the operation of various tax rules, including liaising with other functions or overseas colleagues where necessary.
- Assisting with undertaking a tax valuation of private company shares
- Assisting with tax technical research/product development
- Delivering technical training to junior team members or other peers in other areas.

Qualifications, Experience and Background

It is expected that the successful applicant will be a solicitor or CTA or ACA qualified with experience gained in the share plans team of a large accounting or law firm. We would also consider exceptional candidates with corporate or employee tax experience looking to move into an Equity Reward role.

Strong academic, technical and personal skills are a pre-requisite.

The applicant will ideally be a reward / share plans specialist with experience of listed and unlisted and UK and global share plans work, although they may be more experienced in one of these areas and looking to broaden their experience.

The applicant will have experience of advising on plan design, drafting plan documents and advising on the tax, legal aspects of share plans and other employee incentives arrangements, including experience of advising on the share plans aspects of M&A transactions. Ideally this would include experience of private equity arrangements. They may also have experience of share plan accounting.

Strong project management skills are a must – the applicant should have experience of coordinating the provision of advice from other advisors (such as overseas advisors, or other specialists such as corporate tax or legal advisors).

While consulting appropriately on difficult issues and exercising sound judgement on risk, the applicant must be able to demonstrate the ability to successfully manage projects with supervision, supervise and develop more junior members of the team and combine technical skills with commercial know-how.

The successful applicant will want to be involved in business development activities, including client proposals, internal and external presentations and writing articles and alerts on technical and other matters.
