Job description
The Global General Counsel-JLL Capital Markets will be the executive leader for the legal and compliance requirements of the Global Capital Markets business (JLLCM) including several regulated businesses. The position includes the development and execution of a globally unified legal and compliance approach while remaining closely aligned with the JLL Global Legal and Compliance strategies.
This role reports to the Deputy Global General Counsel and is a trusted strategic partner to the Global CEO and regional CEO’s of JLL Capital Markets. The position is based at our Chicago, IL headquarters.
The Responsibilities
· Legal, Compliance, and Governance – responsible for the legal, compliance, and governance of JLLCM and its global operations, including:
· Driving JLLCM’s compliance with rules, regulations, policies and procedures around the globe
· Analyzing JLLCM’s activities which may require licensing and/or registration in the various markets in which it operates
· Managing compliance with the licensing and regulatory obligations that exist globally
· Drafting the compliance procedures for securities laws and related matters
· Reviewing guidelines in support of the operations of the business
· Coordinating and assisting with preparation of regulatory filings for the business
· Developing and documenting controls and procedures designed to facilitate regulatory compliance and for good governance of the business
· Assisting with the compliance of JLL company-wide policies and procedures
· Assisting with the development and maintenance of appropriate training programs
· Overseeing the review of client related securities offering materials
· Developing and utilization of diligence protocols for third-party fund raising
· Coordinating the selection and management of outside counsel
· Enterprise Risk Management – responsible for collaborating with the JLL Enterprise Risk management team on risks faced by JLLCM and developing strategies to mitigate or avoid risk
· Litigation – responsible for partnering with JLL Legal - Litigation on management of any litigation impacting JLLCM
· Human Resources – Responsible for coordinating with JLL Legal – Human Resources on legal aspects of employee and benefits matters
· Transactions –Manage legal aspects of corporate transactions, including:
· Negotiating and drafting of client agreements
· Develop form agreements for use with vendors and clients
· Team Leadership – Responsible for management of staffing and direction/goals (in coordination with other JLL Legal leaders) of the JLLCM Legal and Compliance team, including:
· Ensuring that Regional Legal and Compliance functions are properly staffed
· Managing the JLLCM Legal function on a global basis and assuring that it is properly organized and resourced, through internal staffing and the use of outside legal counsel
· Establishing key performance objectives and prioritizing the activities of the team. In addition, responsible for the annual operating plan/action items for the function on a global basis.
· Operations
· Partner with JLLCM senior management on development of strategic business plans and ensuring the Legal and Compliance functions provide the necessary support
· Develop and manage of an annual operating budget for the JLLCM Legal function

The Requirements
The Global General Counsel-JLL Capital Markets must be a seasoned professional with outstanding management skills and extensive experience leading global teams to generate exceptional results. The role requires an entrepreneurial style, looking to the future with optimism envisioning what could be possible, and implementing best-in-class solutions. The preferred candidate's skills are equally balanced between the 'legal and compliance' and the 'managerial/operational' roles; an effective manager of people and of legal spend, balancing outsourcing vs. insourcing and leveraging ‘value-add’ external advice.
· Attorney with 7+ years of related experience in: capital markets, securities offerings and capital raising, investment sales, investment banking/mortgage banking, relevant regulatory experience, including cross-border experience is required
· Extensive experience working collaboratively across global organizations and with a wide range of stakeholders
· Previous in-house corporate and/or real estate experience is strongly preferred
· Previous experience in managing medium-sized, global teams
· Exceptional track record creating positive relationships with senior executive leadership
· Superb written and verbal communication skills
· Visible and pro-active communicator; a self-starter, able to translate guidance on complex legal and compliance issues into focused communications which are both robust and practical
· Ability to perform in a high-pressure environment while meeting tight deadlines
