The Legal Department of JPMorgan Chase is responsible for the provision of legal services to the Corporation and is organized by Practice Groups that conform to the organization of the Firm's lines of business and corporate staff areas. This structure encourages legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the legal teams in a timely manner.

DESCRIPTION

The documentation specialist will be responsible for management and administration of client contracts for the supply chain finance product. Our supply chain finance product helps buyers and suppliers meet their working capital, risk mitigation and cash flow objectives. Our buyer-led solution, supported by a global, multilingual and multicurrency platform, links buyers to more than 12,000 suppliers, streamlining the payables process while providing suppliers with the option to receive early payment.

The documentation specialist will manage the documentation negotiation process with clients as well as internal partners in legal, sales, implementation, technology, product management, credit, risk, compliance and client services in order to ensure agreement on feasibility of product delivery by all functions of the business prior to entering into a contractual commitment with a client. This position entails extensive, independent contact with business partners and external clients regarding amendments to existing documentation and documentation for new business transactions.

This position is located in Chicago.

RESPONSIBILITIES

· Responsible for end to end deal management of negotiated transactions, driving internal process and coordination on behalf of the client to reach timely and successful execution of documentation.
· Responsible for interpreting client needs and documentation requirements from information provided by internal business partners.
· Negotiate standard and customized contracts, as directed by legal counsel, in order minimize the risk to the business through strict adherence to policies, procedures, and regulatory requirements.
· Negotiate contracts within pre-approved guidelines and propose alternative language, in consultation with legal counsel.
· Responsible for obtaining and tracking internal documentation exception approvals.
· Responsible for coordination of documentation globally, for clients with presence in multiple regions.
· Prepare execution copies of agreements, obtain signatures from client and perform signature validation.
· Provide tracking on status of contracts by maintaining up-to-date transaction information and providing reporting.
· Analyze existing legal documents for conformance to the Bank's policies and procedures and regulatory requirements.
· Provide guidance and subject matter expertise on documentation to internal business partners.
· Communicate effectively with internal business partners.
· Contribute to the development and maintenance of negotiation guidelines, training materials and procedures.

Desired profile

QUALIFICATIONS

·  Undergraduate degree and minimum 3 years experience or equivalent experience drafting and negotiating customized transactions with large multi-product global client base.
·  MBA/JD and/or paralegal certificate desirable.
·  Knowledge of corporate documentation, legal terminology and legal procedures.
