The Legal Department of JPMC is responsible for the provision of legal services to the firm, and includes the Office of the Secretary (“OTS”). OTSis headed by the Corporate Secretary who reports to the firm’s General Counsel.

OTS’ mission is to promote effective and consistent governance of the firm’s legal entities and branches through its partnerships with senior management, directors, control groups, lines of business and corporate units. As part of this, it 1) promotes and drives consistent standards for Legal Entity governance that support the Firm's strategic objectives; 2) provides directors, senior management and Legal Entities with advice, support and training across corporate governance matters, including in relation to relevant laws and regulations, governance practices and legal entity management; and 3) organises board and board committee meetings and briefs directors on their legal duties and on board governance practices.

In order that OTS can continue to provide efficient advice and support to the boards, senior management, LoBs and control groups in the Europe, Middle-East & Africa (“EMEA”) region, the Office of the Secretary is seeking to recruit an Assistant Vice President to be based in the London Office.

The key aspects of the role will be to provide governance advice and company secretarial support to certain of JPMC’s key UK regulated entities and to provide legal advice in relation to corporate and governance law and regulation matters.

Job Description :
·  Delivering governance enhancements in relation to the EMEA entities; driving governance standards in line with regulatory requirements and internal policies; and providing governance advice and guidance.
·  Providing legal advice in relation to corporate restructuring projects in EMEA.
·  Assisting with OTS’ advisory work and execution deliverables in respect of key projects (for example, projects arising out of the Firm’s plans relating to the British exit from the European Union; and the expansion of the Individual Accountability Regime).
·  Providing company secretarial support, advice and guidance to the board of directors and committees of key regulated UK entities.
·  Overseeing governance matters in EMEA entities where company secretarial support is provided by non-OTS personnel.
·  Providing advice to board directors in connection with their responsibilities under the new Individual Accountability Regimes.
·  High level of pro-activity in driving board agendas, and advising board chairs on board composition, director training and regulatory requirements and expectations around board governance.
·  Communicating effectively with the board of directors, committee members and senior management as appropriate in respect of all relevant governance matters.
Qualifications, skills and experience:
·  Post qualification experience as a solicitor, preferably gained in the financial services industry.
·  Strong awareness of corporate governance matters impacted by changing law and regulations in the financial services industry.
·  Ability to drive policy and procedure on best practice for JPMC entities.
·  Consistently striving for improvements in process and working practices.
·  Self-motivated, as well as a strong team player with a keen sense of ownership and desire for continuous improvement.
·  Strong written and verbal skills and an effective communicator with maturity and gravitas to deal effectively at senior level.
·  Able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations.
·  Well-organised and confident, with excellent planning skills.
·  PC skills - ability to use legal entity management systems and other system packages, proficient and fast at learning and adapting to new technology and software
·  Able to demonstrate commitment to a long term career at JPMC.
