Role Title: Significant Shareholding Disclosure Manager, GBM Regulatory Compliance

Role Purpose
The Significant Shareholding Disclosure Manager, GBM will include the following responsibilities:
Provide oversight of the Groups disclosure reporting requirements globally
Provide oversight as the primary customer of the offshore RC Ops team who are responsible for the day to day administration of the reporting requirements
Develop and coordinate a network of Regulatory Compliance officers who have responsibility for highlighting amendments to local requirements
Take responsibility for the provision of advice on UK regulatory requirements for disclosures.
Manage the relationship with the market facing business teams to ensure that changes to business and systems are incorporated in our disclosures work.
Provide Regulatory Compliance subject matter expertise input into global business led initiatives, that are expected to have disclosure reporting obligations.
Represent Regulatory Compliance on business governance and project steering committees  and working groups as required, working closely with senior management in the business and Regulatory Compliance.
Manage GBM Regulatory Compliance interaction with business initiatives relating to Disclosure requirement and oversee the implementation of effective controls to meet regulatory requirements.
Challenge front office business and support areas as required in the development of appropriate business and compliance controls and approve approaches as required.
Help Maintain a framework to ensure that the risks facing the business are measured and understood and that strong controls are effectively embedded to manage the risk
Escalate and where appropriate manage, regulatory issues identified during work
Work to standardise Regulatory Compliance approach to business compliance risks, including development of policies and training.
 
Impact on Business
Ensure a robust global framework for the provision of regulatory disclosure reporting.
Set policies and standards to cover compliance issues.
Work with and guide the separate HSBC Regulatory Compliance business teams in respect of the implementation of new business changes to ensure the effective management of regulatory risk and compliance controls.
Provide regulatory compliance expertise into business projects
Represent Compliance on a number of internal Committees as well as HSBC on external committees as invited.
Foster good relations with all relevant regulators and business stakeholders.
Escalate all material and significant breaches or potential breaches of regulations as soon as practicable to Compliance and business management and manage remediation as required.
 
 
Customers / Stakeholders
Act collaboratively with relevant HSBC business teams and other parts of the Group’s risk management framework.
Interact with the Group’s lead regulator, the FCA and other global regulators as required for disclosure reporting.
Provide proactive, timely and accurate Compliance and regulatory support to enable the optimal management of the regulatory issues affecting areas of responsibility
Ensure effective and appropriate reporting to the regional Heads of Regulatory Compliance and to the Heads of the effected business Regulatory Compliance to keep them appraised of Compliance initiatives, Compliance involvement in business initiatives and regulatory actions.
Working with the Head of GBM RC and the specialist teams to create an effective Compliance plan to manage the identified risks and develop global solutions to mitigate them
 
 
Leadership & Teamwork
Work collaboratively across peer group and organisation.
Collaborate and foster good relations with the business, Compliance monitoring team and other Compliance teams.
This position is not expected to have direct reports but will be required to oversee the work of a specialist offshore team
Be a role model for high compliance standards across the teams
 
 
Operational Effectiveness & Control
Make use of the IRIS system and other relevant systems, taking appropriate action if necessary where reportable events or regulatory inspections within the jobholder’s domain indicate a problem or represent a trend which is cause for concern.
Works with other areas of the Group Risk Management Framework to provide a seamless risk management service to relevant businesses and their senior management.  
Managing / participating in internal and external investigations into compliance related irregularities
Assist the business with the preparation of manuals and procedures (regulatory /compliance input only) as required.
 
 
Major Challenges
To understand the complex disclosure reporting requirements that come from the global operation of a large universal bank
To assist the Head of GBM RC in ensuring that HSBC meets both Group and external legal and regulatory requirements.
To assist the Head of GBM RC in maintaining consistently high standards of compliance across the respective business activities.
To keep abreast of developments and activities of concern to GBM.
 
 
Management of Risk
Maintaining the standards of implementation of the Compliance Officer Handbook, Compliance FIM and relevant requirements of the Markets FIM.
Contribute to the management and implementation of the Risk Management Framework. 
 
 
 
Observation of Internal Controls
Maintain HSBC internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators.
To discharge the (Compliance Officer) accountabilities set out in the Compliance Officer Handbook by pro-actively assisting management in identifying and containing compliance risk, monitoring, reporting and certification, fostering a compliance culture and optimising relations with regulators’

Desired profile

Knowledge & Experience / Qualifications
A sound understanding of the global financial services industry
Extensive knowledge of UK and/or global disclosure requirements
Strong understanding of financial services products
Strong Compliance background in wholesale banking or similar control role
Experience of the HSBC Group, its culture, policies and procedures or similar organisation.
Excellent communication and influencing skills (strong written and oral communication skills demonstrated by a history of writing reports and making oral presentations to senior staff either within the HSBC Group or similar).
Demonstrated good analytical capabilities
The ability to lead people in a demanding environment and supervise work in other locations.
Experience of operating in complex projects with multiple stakeholders
Ambition to enhance compliance knowledge and skills in a rapidly changing and dynamic environment. 
The ability to lead and motivate compliance officers
Proven sound Judgment
Good knowledge and high levels of experience of regulatory rules and approaches from around the world
Experience dealing directly with regulators on complex issues.
