The Company Secretarial Assistant job category provides support and assistance in the provision of a company secretarial service to the companies, subsidiaries and branches in Taiwan. This role supports the Company Secretary and Head of Corporate Governance of HSBC Bank (Taiwan) Limited (“HBTW”) in delivering a company secretarial service to the Group’s companies in Taiwan.

This job category supports the drive to achieve the highest standards of corporate governance globally to support the delivery of Group strategy and to satisfy the expectations of our stakeholders.

Reporting to: Company Secretary and Head of Corporate Governance

Principal Accountabilities

-Provide support with HBTW Board and its Committees to ensure they function effectively and in accordance with their terms of reference and best practice. This includes:

·  Apply the Group and regulatory corporate governance requirements to ensure effective governance
·  Support key activities required for HBTW Board and Committee meetings in line with expected meeting governance processes, including: Meeting organisation, Paper and report collation and circulation, Post meeting communication and actions
·  Support the corporate and business governance arrangements for subsidiary and other entity boards to ensure they function effectively and in accordance with the Corporate Governance Framework and best practice. This includes:
·  Support the end-to-end process for subsidiary board and committee meetings
·  Provide advice, guidance and support to the directors and senior management on corporate governance matters

-Support the discharge of regulatory obligations for supported entities to ensure compliance. This includes:

·  Gather information and prepare documents for local filings to ensure that regulatory obligations are met
·  Gather information and prepare documents for changes in legal representatives to ensure that regulatory obligations are met

-Support the execution of corporate transactions for supported entities to ensure that they are administered correctly.
-Provide assistance to the Company Secretary and Head of Corporate Governance of HBTW, to support the effective management of the Corporate Governance & Secretariat (CG&S) function.This includes:

·  Provide advice, guidance and support on all CG&S matters, including: Corporate governance, Statutory matters, Regulatory matters, Governmental matters, Procedure Notes (SPIs), Annual Compliance Certificate for Subsidiary Accountability Framework (SAF), and Full and half year subsidiary audits and risk certifications
·  Support and maintain relationships with key internal and external stakeholders to facilitate the effective operation of the CG&S function in Taiwan.
·  Support the Company Secretary and Head of Corporate Governance of HBTW with governance and appointment of Board Directors for supported subsidiaries to ensure that they meet the required standards and statutory obligations. This includes:
·  Conduct research and prepare paperwork on potential candidates for selection boards
·  Support the appointment of suitable Board Directors, including: vetting, suitability, fitness and propriety assessments / the organisation of Induction Programmes for newly appointed Board Directors / Distributing the Director’s Memo
·  Assist with the provision of training to Board Members to ensure they have the right skills and knowledge to fulfil their role
·  Assist with the necessary arrangements for Board Directors that are stepping down
·  Assist with the annual certification for Board Directors
·  Assist with the provision of appropriate notifications to Regulators
·  Provide assistance with Conflicts of Interests
·  Provide assistance with the share interests of directors
·  Provide assistance with Board Directors fees

Information

-Knowledge of the HSBC Group and/or a similar large and complex organisation
-Knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience
-Lateral thinking, problem solving and creativity.
-Strong written and organisational skills
-Communication and inter personal skills including the maintenance and development of relationships with the team.
-Proficient in the use of Word, Excel and PowerPoint
-Experience of working in banking, legal, finance or corporate governance.
