Department Profile:

The Compliance function is a Second line of defence (LOD) function, responsible for reviewing and challenging the activities of the Group’s businesses (also referred to as “the First LOD”) to ensure that they effectively manage as “Risk Owners” the risks inherent in or arising from the conduct of their activities and for which they are responsible. The Second LOD consists of 'Risk Stewards' who are independent of the commercial risk-taking activities undertaken by the First LOD. The Compliance function is a Risk Steward for a number of non-financial risks in accordance with HSBC Group’s risk framework.

Role Purpose:

The Japan Head of Regulatory Conduct is responsible; for supporting the business-facing Compliance Officers to ensure HSBC manages the Compliance risks that it faces.

The management of Regulatory Compliance risk is an integral part of the role profile of the Japan Head of Regulatory Conduct.

The Japan Head of Regulatory Conduct will regularly reassess the operational risks inherent in the Regulatory Conduct sub-function and its activities, taking account of changing economic or market conditions, legal and regulatory requirements, operating procedures and practices, management restructurings, and the impact of new technology.

This will be achieved by ensuring all actions take account of the likelihood of operational risk occurring. Also by addressing any areas of concern in conjunction with line management and/or the appropriate department.

Managers are accountable for setting the ‘tone at the top’ which underpins the principles of a positive and effective internal control environment.  They should exhibit leadership and direction to their teams for establishing and maintaining an effective internal control environment, including the development and management of policies and procedures where appropriate.  Managers should also ensure that suitable processes are put in place to review and oversight that internal control environment against those policies.

The jobholder will need to work within the regulated environment of approved policies, procedures and practices, he/she will be expected to initiate and manage re-engineering initiatives and ensure that procedures, processes and manuals are updated accordingly. 

The role is a key risk management role with a broad remit and responsibilities including:

·  The effective oversight and advice on high-level Regulatory Compliance (RC) risk related matters relating to the HSBC Japan, the oversight of RC risk related stewardship across the Japan Compliance function and the assessment of current and forward-looking aspects of RC risk exposure to the Japan CRCO, head of RC and the business facing Compliance Officers.
·  Working closely with the business facing Compliance Officers, establish strategic RC standards and policies and support the business facing Compliance Officers in setting risk appetite limits in relation to the RC risks (specifically, breach of regulatory duty to clients and other counterparties, inappropriate market conduct, breach of other regulatory requirements) as relevant to the business facing Compliance Officers areas of responsibility. Oversee the implementation and operational effectiveness of those standards and policies by business facing Compliance Officers across HSBC Japan and ensure that HSBC Japan RC risks are managed in a commercially sensitive, practical and cost effective manner.
·  Support the business facing Compliance Officers in the development and implementation of a consistent and embedded Regulatory Compliance risk management framework and (where relevant and working closely with the Head of RC and/or CRCO) lead the development of systems, processes and other capabilities that support this.
·  Co-ordinating a consistent global approach to managing HSBC Japan relationship with its regulators, and, in conjunction with the business facing Compliance Officers, ensuring timely reporting and disclosure of relevant information both to Japan regulators and within the Group in relation to regulatory concerns and engagements.
·  To oversee Whistleblowing and regulatory conduct related policies and frameworks and their implementation.

Principal Accountabilities:

1. FUNCTIONAL MANAGEMENT:

The Japan Head of Regulatory Conduct oversees the Japan Regulatory Conduct team’s activities and seeks to ensure that all parts of the sub-function:

·  Operate in accordance with agreed KPIs and to the requirements of the Compliance Operating Model.
·  Proactively develop the Regulatory Conduct team’s activities to continue to help the Function navigate the regulatory landscape as that landscape evolves.
·  Support all parts of the Compliance function, including by regular communications and reporting and work in a collaborative way with all stakeholders.

The jobholder is required to work in an environment of significant ambiguity with autonomy, dealing with major issues for which there is no clear solution whilst still being able to provide good judgment and clear direction to others. Where items of major consequence are involved, or where there is disagreement on a significant issue between the jobholder and an 'interlock', the jobholder should refer the issue to the Japan CRCO, or to another senior executive nominated by him/her. Key issues may also need to be directed to the Japan CEO, COO, or CFO.

Experience, Skills and Qualifications:

The role holder will ideally have knowledge and experience in the following areas:

·  Strong knowledge and understanding of the external environments - regulatory, political, competitor and market
·  Knowledge and understanding of Compliance within a complex global organisation.
·  Proven experience as a senior leader in a complex organisation.
·  Conversant in dealing with regulatory authorities at a senior level
·  Demonstrable experience dealing with and influencing internal and external senior stakeholders (ExCo members, Board, CEOs) and regulators.
·  Excellent business judgement and a willingness to exercise it.
·  A ‘completer-finisher’.  Self-starting and results-focused.  Proactive, energetic and resilient individual with a ‘can-do’ approach;
·  Excellent people management skills with proven motivation and leadership skills.
·  Strong interpersonal skills; be an effective communicator and possess strength of character.
·  Ability to manage and mitigate operational risk effectively.
·  Fluency in Japanese is must, and strong English communication skill is desireable
