We are currently seeking an experienced individual to join this team in the role of Corporate Governance Officer, CMB.
The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on all aspects of corporate governance and leads and implements a world-class end to end corporate governance practice throughout the Group. The CG&S function consists of c.220 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports to the Group Chairman.
The role holder as part of the CG&S team will drive the Function's 5 priorities:
1. Protecting the Bank
2. Connecting the Bank
3. Supporting the delivery of strategy
4. Drive informed decision making, and do all this whilst
5. Simplifying Governance
Reporting to the Global Head Policy & Stakeholder Engagement (PSE), the Corporate Governance Officer (CGO), Commercial Banking (CMB) is accountable for the provision of end to end governance and company secretarial services to the Head of CMB and relevant executive committees and forums.
Key responsibilities are to:

Act as a trusted advisor and provide expert advice, oversight and challenge to the global business in the development of strategy in line with good corporate governance and risk appetite.

Design and deliver a fit for purpose corporate governance and cost effective service to the global business
·
Act as the business interface for corporate governance in line with the CG&S service proposition
·
Manage the senior stakeholder interface and interact directly with key stakeholders on all aspects of corporate governance matters relating to the global business
·
Lead and manage end to end governance journeys for the global business, ensuring that the governance Operating Rhythm is aligned with Group Executive Committee and Group Board practices
·
As a member of the Business and Functions Corporate Governance Forum, contribute to the development of CG&S strategy and governance initiatives.

Oversee the implementation of the governance framework and operating rhythm within CMB
·
Assist the Global Head, PSE to with the delivery of governance for key committees as required from time to time
·
Advise the Group Company Secretary & Chief Governance Officer, the Global Head, PSE and the wider function (as appropriate) on all corporate governance and policy related matters including training as required
·
Oversee the implementation of the Subsidiary Accountability Framework and other initiatives to ensure consistent governance application across the group.

Ensure a clear understanding of best practice and emerging initiatives, support on the delivery of the broader policy and stakeholder engagement agenda keep abreast of developments and attend and represent CG&S on external working groups and industry forums as required.

Contribute to the development of staff in the team

Contribute to the development of CG&S strategy and governance initiatives.
·
Manage change within local team to continuously improve the efficiency and effectiveness of the service
·
Cover for other members of CG&S during their absence as required;
·

Desired profile
Qualifications :
To be successful in this role you should meet the following requirements:

Qualified company secretary or lawyer
·
Comprehensive understanding and experience of corporate governance models, theories and practice in a financial services environment
·
Skilled communicator with a track record of influencing a wide range of audiences ensuring alignment and common purpose
·
Proven negotiation skills at a senior level demonstrating gravitas and providing confidence to key stakeholders
·
Knowledge of company secretarial, governance and regulatory environment pertaining to large complex financial services organisations
·
Excellent written communication skills and ability to absorb complex information and simplify
·
Ability to operate at pace and adapt to a fast changing internal and external environment
·
Skilled communicator with a track record of ensuring alignment and common purpose
Base location for this role is 8 Canada Square, London
