Job description
The Assistant Company Secretary role is based within HSBC Bank plc.
The role of the Assistant Company Secretary is to Support the delivery of a first class Company Secretarial service to HSBC Bank plc, its subsidiaries and the European Region
Your responsibilities will include:
To support the Regional Company Secretary, Europe in managing the Company Secretarial function within the UK. companies.
To advise the Boards of Directors of companies and Global business committees, of which he/she is Secretary, through the respective Chairman and, where appropriate, Chief Executive, on all corporate governance matters and provide direct support to the Board, Non-Executive Directors, its Committees and senior management.
To contribute to the achievement of the objectives of the Region by ensuring that effective Company Secretarial support and advice is provided to all Group companies of which he/she is Secretary through an appropriate and consistent corporate governance framework.
To understand and act upon changes in legislation and regulation within the UK, with particular regard to the continuing obligations of HSBC Holdings plc.
To contribute to the development of strategic and operational objectives of the Global Company Secretarial function through the Regional Company Secretary, Europe.
To ensure that the governance framework in place for the Executive Committee, Risk Management Committee and Risk and Audit Committees of the Global business of which he/she is Secretary is appropriate and implemented.
Desired profile
The ideal candidate for this role will have:
Experience working in relevant environment/s, i.e. Company Secretarial Office
Role relevant qualifications, i.e. Associate of the Institute of Chartered Secretaries and Administrators
Past working experience in a relevant role, i.e. 4-6 years
Experience working in relevant market/context, i.e. Financial Services is desirable but not essential
Experience of using relevant software packages, i.e. Blueprint is desirable but not essential
A track record of gaining an understanding of customers' needs and delivering excellent customer service
A track record of constantly looking for ways to do things better and an excellent understanding of the mechanism necessary to successfully implement change
Proven experience of motivating others to deliver exceptional performance and long terms results
Experience of supporting others' performance, enabling them to achieve by providing clear direction, motivation and support
Both spoken and written communication skills with experience of adapting your style and approach to the audience and message to be delivered
Contributed productively to team objectives, sometimes supporting and sometimes leading activities to achieve shared goals
Experience of making prompt and practical business decision, even in times of ambiguity, considering various perspectives and taking responsibility for outcomes
Planned projects and activities systematically in line with business priorities, using a variety of analysis and problem solving techniques
Supported project teams/managers, showing an understanding of the basic principles of project management
A comprehensive understanding of the regulatory frameworks and compliance requirements associated with financial services and experience of working within these
Experience of building effective customer relationships which create customer advocacy
In addition to the details listed above, the ideal candidate will have proven experience of company secretarial practice, a good understanding of corporate governance and experience of providing or overseeing business support for meetings (i.e. minute taking, agenda planning etc.)
The base location for this role is 8 Canada Square, London.
