Details:
We are currently recruiting for an Assistant Company Secretary, Plc & Shareholder Services to ensure GSK plc's compliance with statutory requirements, listing regimes, corporate governance requirements and best practice. Contribute to the planning and execution of the GSK plc AGM and Annual Report project and manage the day to day relationship with the GSK's UK Registrar and US ADR Depositary.

The key responsibilities will be:

• Manage the Company Secretariat Assistant (‘CSA' direct report).
• Ensure GSK plc's compliance with UK and US statutory requirements, LSE and NYSE listing rules, corporate governance requirements and best industry practice, relevant to areas of responsibilities.
• Annual Report project:
1.Assist with the project management of the printing, production and distribution of the Annual Report, and accompanying ancillary documents including annual summary, notice of AGM, proxy form and form of direction.
2.Assist with drafting the ancillary documents.
3.Contribute to the drafting of the directors' report (including biographies) and shareholder information sections of the Annual Report.
4.Assist with the distribution of Annual Report and ancillary documents to shareholders and internal and external stakeholders.
• Monitor the Main Board Directors' and CET members' shareholdings via the Registrars, ADR Depositary and by contacting their share portfolio managers.
• Manage administration of Directors' Interests in line with statutory and corporate governance requirements, with support from CSA.
• Manage the maintenance of accurate records of Directors' Interests and production of Directors Interests statements, with support from CSA. Issue Directors' Interests statements annually, in January.
• Create and maintain a list of Directors' and CET members' shareholdings in GSK for inclusion in the Annual Report.
• Assist with the AGM project:
1.Assist with management of AGM project time table and oversee event production.
2.Assist with management of external service providers, agreeing terms and ensure that services are provided within allocated budget.
3.Attend internal cross functional team planning meetings and liaise with all internal GSK contributors.
4.Draft and co-ordinate the production of shareholder AGM guidance.
5.Co-ordinate responses to shareholder requisitions for AGM resolutions.

• Assist with management of the relationship with GSK's UK Registrars and ADR Depositary. Monitor, feedback and report on performance against the service level agreement and best industry practice and manage costs against agreed budget. Arrange quarterly and annual review meetings.
• Compile the GSK Dividend Calendar. Project manage, and oversee the payment of quarterly dividends to shareholders.
• Oversee the quarterly payment of NED fees and share allocation, with support from CSA.
• Assist with operation of and ensure compliance with the GSK Dealing in Securities Policy.
• Oversee the allotment of new shares and blocklisting applications.
• Liaise with Investor Relations on the maintenance of GSK's s 793 Register.

The minimum experience you need for this role is:

• Knowledge and understanding of the operation of a global organisation.
•Previous line management experience preferred.
•Proven project and time management skills.
•High level communication skills.
•Expert influencing skills.
•IT literate and keen to embrace the use of technology to bring workload and processing efficiencies.

How would I be rewarded in this role?

• PAY - We will reward your contributions to GSKs success through your salary, bonus or sales incentives, and recognition awards.
• Competitive Base Salary – Your salary is paid monthly on the 20th day of the month (or nearest business day) It is reviewed each year to ensure it stays competitive and reflects your performance and contribution to GSK's strategy.
• 18% Annual Target Bonus – Your individual performance is worth 60% if your total bonus and is based on the achievement of your personal objectives. The high level results of your business area is worth 40% of your total bonus.
• Car Allowance – Annual car allowance of £6,420 paid in equal monthly instalments.

• GSK Pension Plan – You automatically become a member of the GSK pension plan when you join GSK. An account is opened in your name and GSK contributes a core amount of 7% of your pensionable salary into your account each month. You are also required to make a contribution of 2%, GSK will match any contributions you make up to a maximum of 3% of your pensionable salary (total contributions up to 15%)
