Senior Consultant –SaTTransaction Support (m/f)

The EY Strategy and Transactions (SaT) team combines all the experience and expertiseavailable within EY in order to offer a complete range of value-added services and to advise on corporate transactions. For cross-border transactions, we deploy multinational teams from the international EY SaT network. The Luxembourg SaT team is comprised of over 30 professionals coming from various backgrounds and disciplines, such as corporate finance, private equity, industry and financial audit.
Within SaT, the Transaction Diligence team aims to assist clients, both private equity firms and corporate clients, throughout the whole transaction process. Whilst traditional financial due diligence is a key element of the service, transaction support is much broader, incorporating assistance with business plan assessment, including support to the transaction management, negotiation and documentation, and post-completion integration.
Your key responsibilities
· Perform financial due diligence procedures relating to the sale and purchase of companies and businesses together with a young and dynamic project team
· Help to identify risks that are relevant to the perception of a contemplated transaction
· Analyse working capital requirements and seasonality relative to proposed target levels which support our client’s negotiation position
· Analyse key balance sheet components and valuation issues, for example, identifying overvalued assets and undervalued/omitted liabilities.
· Coordinate with other advisors/investors (e.g. legal, lenders)
· Supportthebuyer's/seller’snegotiatingposition andpurchasepriceadjustments.
· Prepare management meetings and Q&As
· Support the development of the department (proposals, pitches, teasers etc.)
· Any other ad-hoc projects (e.g. Lead advisory, EYnovation)
Skills and attributes for success
To qualify for the role you must have
· An University degree in finance, economics, accounting, business or similar
· 2 to 4 years of applicable relevant experience (e.g. Transaction services, M&A, Financial analysis). Ideally, you have already been exposed to financial due diligence projects
· Excellent knowledge of spoken and written English, French and/or German. Any additional language will be considered a plus
· Excellent analytical and project management skills
· Outstanding organizational skills, flexibility and ability to work under tight deadlines
· PC proficiency including MS Excel, Word, and PowerPoint
· Excellent interpersonal skills
