Job description

We Offer:

· An interesting and challenging job opening as Legal Counsel within a highly motivated team in a dynamic and evolving environment as part of the General Counsel division (deployed side), based at Pune, India
· Supporting various regions and businesses within APAC, as part of the legal functions and processes outsourced to the Pune Business Delivery Centre (BDC)
· Supporting Hong Kong Negotiators for Prime Services and Equities business on below tasks:
· Drafting of trading documents like ISDA Master Agreements & Collateral Swap and Collateral Management Agreements, Master Prime Brokerage Terms, Listed Derivatives Transactions and Clearing Agreements, Client Agreements, termination notices and ancillary document
· Pre-execution support (e.g. Due-Diligence, co-ordination with Front Offices and CRM teams for necessary approvals
· Post-execution support (e.g. Verifying and facilitating due execution, coordinating system updates and set-up, security registrations)
· Review of Warrants, Callable Bull Bear Contracts and Participatory Notes
· Drafting, negotiating and reviewing of Non-Disclosure Agreements
· Review of legal terms in Account Opening documentation to enable client onboarding for Singapore entities
· Review of Marketing Materials, Equity Capital Markets and Debt Capital Markets weekly reports from a legal perspective considering Bank's policy requirements
· Co-coordinating Independence Checks for Hong Kong IPOs

Desired profile

You Offer:

·  A minimum of 3-4 years of professional experience in legal team of Banking or Non-Banking institution with expertise in ISDA, Futures, Prime Brokerage, non-disclosure agreements and other ancillary banking legal documentation
·  LL.B. or equivalent degree with excellent academic credentials (Candidate with LL.M. or M.B.A. will be considered an advantage)
·  Diligent and proactive, bring gravitas, excellent business judgment, legal acumen and ability to work both cross-functionally and independently
·  Strong analytical and problem-solving skills combined with interpersonal and stakeholder management skills
·  Excellent command of written and spoken English and prior experience of direct communication with bankers, Front Offices and/or internal/external clients

·  Sound knowledge of Microsoft Office package
