Attorney - Fund Linked Products

Job description

· A fast-paced and challenging role providing legal coverage to the Fund Linked Products desk in the U.S.
· Transactional role, drafting and negotiating secured credit agreements, note purchase agreements, collateral agreements, control agreements and ancillary documents for financing transactions collateralized by portfolios of hedge funds and private equity funds.
· Hands on approach to building, maintaining and managing the Fund Linked Products book.
· Autonomy and a high level of interaction with borrower/issuer counsel combined with the support of a creative legal, structuring and business team.

Desired profile

·  3-7 years of relevant experience.
·  JD from an accredited university
·  Expertise in financing transactions including variable funding notes and secured credit facilities (both bilateral and syndicated) collateralized by hedge funds and private equity fund portfolios.
·  Unique understanding of the legal, regulatory and structural issues relating to products linked to hedge funds and private equity funds and other illiquid securities as an asset class.
·  Experience in fund formation, management, operation, administration and custody.
·  Broad knowledge of secured transactions, corporate law, banking regulations and regulatory regimes applicable to registered and unregistered investment vehicles.
·  Experience in cross border lending transactions, including taking and/or perfecting a security interest in assets held offshore.
·  Experience in aspects of wind down, foreclosure, bankruptcy, work out and collateral enforcement for secured lending facilities.
