Summary of Position
Natixis is seeking an experienced mid-level attorney to join its Legal Department and provide legal and regulatory advice for the Corporate and Investment Banking business lines in the Americas region. The focus areas include debt capital markets (investment grade debt, program issuances, high-yield bonds, and US private placements), equity capital markets (initial public offerings, secondary share sales, and structured equity transactions), and Natixis/BPCE treasury and issuance programs for US funding. This role offers significant exposure to securitization transactions, structured notes issuances, equity derivatives, and transactional broker-dealer regulatory matters. Experience with SEC-registered and 144A transactions is preferred, along with a strong foundation in US securities laws. He/she/they will join a twenty-two person legal department.
Essential Duties and Responsibilities
The attorney will be responsible for providing advice and guidance on a variety of capital markets transactions. The primary areas of responsibility will include:
· Drafting, reviewing, and advising on debt and equity capital markets documentation across SEC registered, 144A, Regulation S, Rule 3a2/3a3, and private placements generally; demonstrating willingness to support securitization, structured notes, equity derivatives, and issuance programs as needed under the supervision of senior coverage attorneys for each respective area.
· Collaborating with the business team and support functions on transaction structuring and new product development.
· Working with legal colleagues in New York, London, Hong Kong, and Paris to assist with or coordinate multi-jurisdictional, cross-border legal documentation and due diligence.
· Taking all necessary steps to ensure a comprehensive understanding of legal risks incurred by the relevant business lines and providing appropriate solutions to control and reduce those risks.
· Coordinating with the Head Office and other locations to promote transparency and consistency in approach.
· Providing legal analysis on new products and contributing to the New Product Committee as necessary.
· Instructing and managing external counsel and legal fees.
The salary range for the VP position will be between $185,000 - $225,000. Natixis is required by law to include a reasonable estimate of the compensation range for this role. Actual base salary will vary and will be based on several factors including, but not limited to, relevant experience, education, skills set, applicable licensure and certifications, and other business and organizational needs. Base salary is only one component of our total rewards package. Natixis also offers a generous benefits package, and you may be eligible for a discretionary incentive award depending on company and individual performance.
