Role synopsis
To provide legal support to Group Treasury, primarily in the United States. This position will be based in Houston, Texas.
This position provides legal support to the BP Treasury function, which is located in London, Houston, Chicago and Singapore. BP Treasury'spurpose is to protect the Group's financial resilience and maximize shareholder value through optimizing funding, managing cash, financial assets and liabilities, and enabling transactions.BP Treasury's functional teams include corporate finance, cash management and banking services, global operational treasury services, pension trust investments, insurance risk management and structured finance.
This position will primarily provide legal support to US based Treasury teams but will also support Treasury for US law-based transactions originating out of other locations.
This position also provides legal support in selected areas for other group clients such as HR, Company Secretary, Treasury Trading, and Tax.
This role's major objective is to provide commercial and pragmatic legal advice to BP Treasury, primarily in Houston and Chicago, across a wide range of finance, and treasury matters, including structured finance, group funding, insurance risk management, global treasury services and pension trust investments.
The person in this role will need to exhibit significant experience in treasury, corporate and/or finance matters as well as strong client service and communication skills. The person in this role must be a self-starter, capable of handling a challenging and wide ranging portfolio comprising both strategic, high value and routine case load work under demanding deadlines including:
· Advising on structuring of internal financings and corporate reorganisations, preparing and negotiating documentation with other parts of the Group and providing legal support for implementation,
· Advising on BP Group Treasury policies, procedures, unique authorities and practices, as well as required internal approvals,
· Project and Structured Finance – Advising on the optimisation of funding structures for projects and assets and providing the legal support leading to implementation of those structures in particular with respect to US project finance activities,
· Advising on and drafting of credit support documents such as guarantees, letters of credit and indemnities,
· Advising on and drafting of standard form Treasury documentation,
· Providing legal support to Treasury for mergers and acquisition activity,
· Drafting and negotiating various finance related documentation, including term sheets, loan agreements, guarantees, letters of credit, counter-indemnities, global master repurchase agreements, and commercial banking service agreements,
· Insurance Risk Management - Advising on insurance policies, reinsurance agreements, insurance service agreements, broking agreements, surety bonds and other insurance related matters and transactions including with respect to BP's US captive insurance company,
· Advising on pension investment activities, including drafting and negotiating investment manager agreements and limited partnership agreements for private equity investments, and providing advice on US federal securities law issues relating to pension investment activities,
· Advising on finance and treasury related regulations and regulatory reforms including financial (e.g. Dodd-Frank) regulations in the US,
· Advising on US federal securities law matters for BP equity plans and savings (401(k)) plans including preparation and filing of SEC Form S-8 registration statements and prospectuses,
· Advising on selected US federal securities laws matters for BP Legal including insider trading laws and the Investment Advisers Act of 1940, and
· Advising on certain legal matters for BP Tax.

Key accountabilities
· Provide first class legal advice and counsel to BP Treasury and other GTLT clients (e.g., HR, Company Secretary, Treasury Trading, BPIM, and Tax) which is commercially practical, consistent, legally accurate, mitigates risk and is timely.
· Be a proactive member of the GTLT, working closely with Houston, London and Singapore based Treasury lawyers.
· Interface with broad client group, working collaboratively to become an integral part of the client's team.
· Comply with the Code of Conduct, Treasury and Group Policies, Procedures, Guides, unique authorities, etc.
· Collaborate with, and support, other businesses and functions such as US and UK Company Secretary, E&C, HR and other BP Legal teams, particularly those teams in the global Corporate Functions team (e.g., Corporate & Regulatory, M&A, IP, Real Estate).
· Commit to BP's Values and Behaviours and BP's D&I strategy and initiatives.
Essential Education
· Law degree required. Must be licensed attorney in good standing in the US.

Essential experience and job requirements
3 – 5 years' experience in financial transactions, federal securities laws and/or corporate law gained from a leading law firm, bank, financial institution or other large corporation. As well as having proven technical ability, the person in this role must be able to demonstrate:
· Ability to work with clients to become a trusted adviser, identify, assess, prioritize and manage complex legal issues, develop alternatives and proposals clearly defining and mitigating risk, ensure legal compliance, provide robust strategic and commercially practical advice and demonstrate good judgement;
· Monitoring of legal developments and changes in law/practice for impact on Treasury and other GTLT clients, in each case, being able to identify and assess the impact of changes and to recommend management strategy;
· Excellent communication and interpersonal skills, including the ability to effectively influence others, positively manage conflicts, develop strong relationships, and be a strong team player yet able to work alone where required;
· Ability to work under tight deadlines and to manage competing priorities;
