What will I be accountable for?

We are looking for a Paralegal/ Company Secretarial Assistant to work as part of the Corporate and Legal Operations team in ARM Legal, specifically to assist with company secretarial duties and manage our outsourced service provider, for the whole ARM group on a global basis.

The role would be suitable for a paralegal or other individual with experience in a corporate governance/ compliance environment, and would be suitable for individuals looking to gain experience in a corporate secretarial career path.

Job Requirements

Responsibilities & Accountabilities:

·  Acts as support for the Company Secretary of ARM Holdings, all other company secretaries of ARM group companies, and the legal team, on general daily duties including queries from the business and overseas offices in relation to delegated authorities and document execution.
·  Acts as first point of contact for the outsourced cosec services provider and ensures that the service provided to ARM maintains all subsidiary companies in good standing and fully compliant with current Companies Act (or equivalent local legislation) requirements.
·  Quality reviews output provided from cosec services provider and escalates service issues to relevant members of the legal team.
·  Monitors accuracy of Blueprint Oneworld database (maintained by cosec services provider) and produces reports from the database upon request.
·  Monitors quarterly management information provided by cosec services provider and updates relevant members of the legal team accordingly.
·  Receives project/change requests from the business and overseas offices and provides onward instruction to the cosec services provider with input from the Company Secretary and relevant members of the legal team.
·  Responsible for minuting actions and decisions from key ARM governance boards, including Compliance Committee, Risk Review Committee, and Corporate Responsibility Committee.
·  Capacity allowing, provides general support on corporate legal matters, including support on M&A transactions and integration.

Skills and qualifications:

·  University degree (or equivalent)
·  High level of organisational and planning skills
·  Self-driven and ability to work independently with a strong eye for detail
·  Good team player, with a pro-active attitude in driving issues through to conclusion
·  Good interpersonal skills and strong communicator
·  Proficiency and experience in using databases
·  Good sense of urgency and a pronounced can-do attitude
·  Previous experience in a company secretarial/ corporate governance/ corporate compliance legal role would be an advantage
