We are looking for a talented and motivated attorney to join our US legal team supporting AllianzGI’s and Allianz Capital Partners’ thriving US private markets investment platform. The successful candidate will also support the full spectrum of legal matters that arise relative to the firm’s operations. The position will report to the US General Counsel and is based in AllianzGI’s NY office.

The successful candidate, working with the US General Counsel and the broader US legal team, will provide legal support across the full spectrum of AllianzGI US’s growing private markets platform, including infrastructure debt, infrastructure equity, private equity and other offerings. Core responsibilities include supporting the following activities:

  • Manage legal processes and documentation around separate account / institutional mandates, including but not limited to investment management agreements, investment guidelines, responses to RFPs
  • Manage legal processes and documentation around fund set up and address regulatory considerations related thereto
  • Providing advice to investment teams, compliance and others with respect to various legal, regulatory and operational issues
  • Supporting the full legal value chain for debt finance transactions, including negotiating Note Purchase Agreements and ancillary documentation relating to project/acquisition finance
  • Manage internal business relationships and communicate directly with range of internal business clients
  • Negotiate and manage external legal budgets and maintain appropriate cost controls
  • Draft and review ancillary contracts (e.g., non-disclosure agreements, placement agreements, side letters)
  • In addition, the successful candidate will provide key support across the full spectrum of legal topics that may arise related to the firm’s operations, including but not limited to litigation and regulatory examinations and interactions, internal investigations, HR and employee matters, vendor and intercompany relationships, corporate governance, data privacy, interpretation of new regulations and other topics.
  • Utilization of artificial intelligence tools and resources (e.g. generative AI).

 

What you bring:

  • Licensed US attorney with top credentials, with minimum 3-7 years related experience with a major law firm and/or the legal department of a leading financial services/investment management organization.
  • Prior legal experience in the following areas:
  • Asset management in particular deep understanding and practical knowledge of Investment Advisers Act of 1940,  Securities Act of 1933 and Investment Company Act of 1940;
  • Contract review and negotiation with respect to private funds and / or institutional mandates
  • Private fund structuring and implementation
  • General US corporate law and general M&A transaction background is a bonus
  • Debt Finance, Project finance and / or other financing experience

Job posting range: $200,000 - $250,000

 

Note the job posting range is exclusive of company benefits or other compensation. This role is also eligible for an annual incentive program. If you are hired, your final base salary will be determined based on factors such as geographic location, experience, skills, competencies, and/or education. In addition to those factors, we will also consider internal equity of our current employees. Please keep in mind that the range provided is the full base salary range for the role. Hiring at or near the maximum of the range would not be typical to allow for future and continued salary growth.
