We are currently seeking an experienced individual to join this team in the role of Assistant Company Secretary, CMB .

The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters with the provision of end-to-end corporate governance advice, and leads and implements a world-class corporate governance practice throughout the Group. The CG&S function consists of c.240 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.

The role holder as part of the CG&S team will drive the Function's 5 priorities:

1. Protecting the Bank

3. Supporting the delivery of strategy

4. Drive informed decision making, and do all this whilst

5. Simplifying Governance

Reporting to the CGO, CMB, the role holder is accountable to support the provision of world class end to end corporate governance and secretarial services to the Global Head, CMB and relevant executive committees as required.

The role holder will support the Policy and Stakeholder Engagement (PSE) team on all governance activities, including, but not limited to:

Delivery of an efficient company secretarial and governance advisory service for the CMB Exco and Risk Management Meetings (hereinafter” Line of business executive committees”/ “LOBEC”)

Support and management of LOBEC through planning, drafting of agendas, paper collation, distribution and follow up actions

·
Delivery of governance responsibilities relating to the subsidiary accountability framework and associated policies, including ad hoc projects;

·
Support on all corporate governance and company secretarial related policy matters e.g. the UK Corporate Governance Code, SMR regime and other corporate governance codes and principles. This will include coordinating the formulation of the functions and line of business' position regarding any relevant external consultations related to governance and practice in conjunction with the Global Head PSE. monitoring best practice; regulatory changes and trends and supporting external and internal responses, including the formulation and delivery of training;

Maintenance of the policy library, associated policy and other key documents including on the HSBC University site and other portals;

·
Researching and drafting of papers, including responding to information requests and regulatory responses;

·
Planning, scheduling, drafting and review of relevant materials submitted to governance forums

·
Supporting PSE's general advisory activities including researching, analysing and reporting on matters as required;

·
Verify compliance with relevant regulatory requirements including the FRC Guidelines, the UK Corporate Governance Code, the HK Governance Code, the Companies Acts of the UK and HK and the listing requirements of the UK, HK and NYSE as applicable;

Liaising with stakeholders in the Functions and across the Businesses as required to ensure timely delivery of responsibilities; and

Covering for other members of CG&S during their absence or otherwise, as required, to be responsive to requirements of the team;

Qualifications :

In addition, the individual will:

Provide advice, guidance and support to members of the CG&S function;

· 
Contribute to ad hoc CG&S projects and tasks, including corporate transactions, regulatory projects and regulatory submissions as required;

· 
Develop and manage relationships with key internal and external stakeholders;

· 
Consider effective ways of driving improvement and modernization; and

· 
Be a role model of the HSBC values and business principles

To be successful in this role you should meet the following requirements:

· 
Qualified company secretary or lawyer or similar professional qualification with corporate governance experience in a high quality, large and complex organisation.

· 
Experience of acting as Secretary to a committee in a large UK plc or complex organisation and the ability to advise on complex governance requirements/boardroom best practices.

· 
UK/European regulatory and legislative experience/awareness is desirable.

· 
Strong understanding of legal entity corporate governance obligations.

· 
Financial services experience is desirable but not essential.

· 
Proven communication skills.

· 
Ability to develop and maintain strong relationships with stakeholders.

· 
Excellent analysis, design and problem solving skills.

· 
Able to deal with conflicting views and where necessary, succinctly escalate to senior management

· 
Ability to deal effectively with ambiguity, complex matrix environment and multiple stakeholders.

· 
Ability to look at the bigger picture as well as have a keen eye for detail.

Base location for this role is 8 Canada Square, London
