Job Description

Activities:
·  Provide legal advice, negotiation, drafting, research, due diligence and representation for TOTAL Gas & Power North America, Inc., TOTAL Gas & Power Holding Services, Inc., Total Gas Pipeline USA, Inc., and Global LNG North America Corp. (all four entities referred to herein collectively as the “Companies”).
·  Draft, review, negotiate and document all natural gas trading, power trading, LPG trading, LNG trading, dry bulk trading, and related risk management agreements, transaction confirmations, credit documents, confidentiality agreements, parental guaranties, and other non-standard and complex commodity and derivative trading contracts.
·  Assist with the management of the legal aspects of major projects (including LNG development projects) and manage outside counsel on such projects.
·  Advise on the Companies’ contractual rights in relation to various infrastructure assets including LNG terminals, LPG terminals, pipelines, natural gas and natural gas liquids processing and storage facilities;
·  Manage and advise on maritime issues relating to Companies’ activities including demurrage claims, force majeure events and advising on charterparties, sub-chartering and charterparty novations;
·  Supporting the Companies’ entry into new products, including drafting bespoke agreements and analyzing risks and regulatory requirements;
·  Ensure that provisions in the Companies’ agreements reflect the Group’s HSE policies and Business Code of Conduct.

Candidate profile

·  Undergraduate degree and J.D. or equivalent law degree.
·  Licensed to practice law in the State of Texas or certified as a Foreign Legal Consultant in the State of Texas (or be eligible to do so).
·  5-8 years or more of law firm or in-house experience in the energy trading and marketing industry.
·  Some familiarity with regulations and rules covering natural gas and power trading activities, including NYMEX, FERC and CFTC rules and regulations.
·  Familiarity with the legal issues relating to physical commodity trading including maritime and commercial law.
·  Familiarity with legal issues associated with major infrastructure projects.
·  Expertise in negotiating and documenting physical natural gas (NAESB), physical power (EEI) and financial (ISDA) transactions.
·  Good understanding and working knowledge of complex energy trading transactions and related risk implications.
·  Good interpersonal skills with ability to communicate clearly and succinctly.
