Job description



We have an exciting opportunity for a solution focused Assistant Company Secretary to be based in Dublin.

Reporting to the Company Secretary of Aviva Ireland, this is an outstanding opportunity to work alongside a senior company secretary, providing assistance and supporting management in implementing best in class governance in the context of local legal and regulatory frameworks.

You will have the opportunity to improve and use existing processes in place as well as having significant input into building new processes.

This role forms part of the wider Aviva Ireland Legal and Company secretarial team and provides exposure to “high impact” regulated boards, as well as opportunities to work on a diverse range of projects including regulatory consultations and the management of run-off boards / liquidations.

Duties & Responsibilities

· 
Supporting the Company Secretary of Aviva Ireland in all areas of accountability with particular focus on acting as an advocate of corporate governance matters within the local businesses (i.e. Life and General Insurance)

· 
Supporting the adoption of Group Company Secretarial guidelines, as well as requirements set down by the Central Bank of Ireland, including identifying, drafting (where necessary), reviewing and updating procedure documents

· 
Working collaboratively with the Company Secretarial teams across the Aviva Group

· 
Servicing and providing company secretarial support to a range of Aviva Group subsidiaries in Ireland, including the:

· 
Preparation of minutes of meetings in a timely manner

· 
Maintenance of up to date records on appropriate systems e.g. Diligent and Blueprint

· 
Timely delivery of Board and Committee papers

· 
Awareness of agenda responsibilities

· 
Submission of appropriate statutory filings

Skills & Experience required

· 
ICSA qualified

· 
Experience of operating within large governance structures

· 
Keen interest in Irish company law, company secretarial practice and its practical application

· 
Practical experience of acting as company secretary to substantive boards / committees

· 
Experience of dealing at senior management level and meeting their expectations

· 
Ability to assimilate large quantities of complex information into understandable formats

· 
Strong drafting skills for board papers and presentations.

· 
Keen eye for detail

· 
Ambitious and highly organised with a strong track-record of taking ownership and responsibility for own workload

· 
Excellent interpersonal skills, both written and oral

· 
Computer literacy and good knowledge of software packages

· 
Results focused with an ability to identify pragmatic solutions

· 
Integrity and objectivity
